END USER TERMS OF USE

IMPORTANT – THIS IS A LEGAL AGREEMENT BETWEEN YOU (“YOU”) AND NUTRI-LINK TECHNOLOGIES, INC. (TOGETHER WITH ITS AFFILIATES AND SUBSIDIARIES, “NUTRI-LINK”). These Terms of Use (the “Terms”) sets forth the terms and conditions pursuant to which Nutri-Link will provide you with access to the Nutri-Link’s online products and services and associated webpages (the “Services”) and data and content included in or otherwise available through such Services (the “Content”). If you do not accept these Terms, then you may not access or use the Services.

You are eligible to use and access the Services because you are an employee, the parent or guardian of a student, or otherwise a customer, of a Nutri-Link customer or subscriber (the “Subscriber”). These Terms constitute the entire agreement between you, the user, and Nutri-Link pertaining to your use of the Services and access to the Services, but do not modify, amend or alter any of the terms or conditions of Nutri-Link’s agreement with the Subscriber with respect to the Services. Any and all written or oral agreements heretofore existing between you and Nutri-Link regarding your use of, or access to, the Services are expressly cancelled.

Content available through the Services may be subject to copyright, trademark, service mark, trade dress and other intellectual property rights or licenses held by Nutri-Link or third parties. Nutri-Link grants you a limited license to access the Services and Content for your personal use in connection with your relationship with Subscriber in accordance with any access permissions or restrictions set by your Subscriber or Nutri-Link. You may not use the trademarks, service marks, trade dress and copyrighted material displayed on the Services. Other than as set forth above, Nutri-Link and its licensors retain all right, title and interest in and to the Services and Content, including all copyrights, patents, trade secrets and trademarks, and reserve all rights not expressly granted herein. You must abide by all trademark and copyright notices, information, or restrictions contained in or attached to any Content or portion of the Services.

You may not, directly or indirectly, (i) license, sell, redistribute, lease or otherwise transfer or assign any of the Services or Content, (ii) alter or permit a third party to alter any part of the Services or Content; (iii) permit any third party to access or the use the Services or Content; (iv) disassemble, decompile, reverse engineer or otherwise attempt to derive source code or other trade secrets from the Services or Content; or (v) use the Services or Content for any unlawful purpose; or (vi) attempt to gain or gain access or use of Services or Content for which you are not authorized to use or access.

By uploading files, inputting data or transmitting any other type of communication or information (collectively, the “Data”) within or through the Services, you warrant and represent each time you transmit such Data through the Services that you have the right to do so, you hereby grant to Nutri-Link a perpetual, worldwide, irrevocable, unrestricted, non-exclusive, royalty free license to use, copy, license, sublicense, adapt, distribute, display, publicly perform, reproduce, transmit, modify, edit and otherwise use such Data, in all media now known or hereafter developed, but solely in connection with the Services and as further described in the Privacy Policy, defined below. You hereby waive all rights to any claim against Nutri-Link for any alleged or actual infringements of any proprietary rights, rights of privacy and publicity, moral rights, and rights of attribution in connection with Nutri-Link’s authorized use of such Data.

Nutri-Link acknowledges that Data provided by you or by the Services may include information that contains personally identifiable information about a student or other individuals, and that such information is protected under the Family Educational Rights and Privacy Act (“FERPA”) and other privacy laws that may be applicable to you and such Data. Nutri-Link’s access to any personally identifiable information in such Data is authorized solely in connection with Nutri-Link’s provision of the Services to the Services and is governed by Nutri-Link’s services privacy policy in effect from time to time, set forth at www.nutrilinktechnologies.com/privacy-policy, or such other URL as specified by Nutri-Link from time to time (the “Privacy Policy”). The Subscriber is our “Client” for purposes of our Privacy Policy. Without limiting the generality of the foregoing, by submitting Data through the Services, you consent to our processing, disclosure and transmission of such Data to your Subscriber in connection with our agreement with the Subscriber with respect to the Services.

Some Services may permit you to purchase products or services (e.g. school meals, meal plans, etc.) from the Subscriber or deposit funds with the Subscriber for the benefit of your student’s purchase of such products or services. In such cases, the Services may be integrated with third-party payment processing services to which your Subscriber subscribes. All such payment processing services are provided by a third party and are governed by a separate agreement between your Subscriber and that third party provider. All payment processing information provided such integrated services are provided by you directly to such payment processor and are not received, transmitted or otherwise accessed by Nutri-Link. Nutri-Link does not make any representations or warranties as to the products or services of any such third party products and is not responsible for the acts or omissions of the provider of such services. Any surcharge, convenience or other processing fees charged to you in connection with your use of the Services are set by your Subscriber, and your Subscriber is solely responsible for complying with any applicable laws, rules or regulations (including any card issuer operating rules or standards) applicable to such processing fees, including making any required disclosures to you regarding the same. You acknowledge and agree that neither Nutri-Link nor the payment processor are an “agent” of the Subscriber in connection with such processing activities. You further release and agree to indemnify Nutri-Link from any claims arising from or relating to such payment processing services offered in connection with the Services.

You further acknowledge and agree to be solely and fully responsible for the configuration and security of your software and equipment and assume all risks for all activities that occur under your access to the Services. Nutri-Link may suspend or disconnect your account or the Services due to abuse that occurs as a result of your compromised system or account, such as when a system becomes infected with a worm or Trojan horse program. You agree to notify Nutri-Link immediately of any impending or actual breach of security or other event known to you that may negatively affect the Services.

Nutri-Link may, in Nutri-Link’s sole and absolute discretion, and without prior notice, restrict, change, suspend or discontinue any aspect of the Services at any time, including the availability of any Services feature or Content, in the event that (i) the Subscriber fails to pay any fees attributable to the Services or other services provided by Nutri-Link to the Subscriber; (ii) you violate any terms made in favor of Nutri-Link or the Subscriber (if any); or (iii) you breach any terms of use applicable to your use of, or access to, the Services. Nutri-Link shall not be liable to you for any such suspension or termination of your account or access to the Services or Content.

Although Nutri-Link attempts to ensure the integrity of the Services, it makes no guarantees as to the integrity, quality or accuracy of the Services or Content. It is possible that the Services or Content could include inaccuracies or errors, and that additions, deletions and alterations could be made to the Services or Content by third parties. You agree to be responsible for all Data that you input, upload or transmit. You understand and agree that some of the Content available on the Services may be incorrect or inaccurate. Under no circumstances will Nutri-Link be liable to you for any Data, errors or omissions in any Data or for any loss or damage of any kind incurred as a result of the use of any Data, subject to Nutri-Link’s obligations under the Privacy Policy.

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, THE SERVICES, INCLUDING WITHOUT LIMITATION ANY CONTENT CONTAINED WITHIN THE SERVICES, ARE PROVIDED “AS IS.” NUTRI-LINK AND ITS AFFILIATES, LICENSORS AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND RELATING IN ANY WAY TO THE SERVICES OR CONTENT, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SERVICES AND CONTENT. NUTRI-LINK AND ITS AFFILIATES, LICENSORS AND SERVICE PROVIDERS DO NOT WARRANT THAT ANY MATERIAL OR FUNCTIONS IN THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICES OR THE SERVER THAT MAKES THE SERVICES AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NUTRI-LINK, ITS LICENSORS, SERVICE PROVIDERS AND ALL AFFILIATES OF THE FOREGOING SHALL NOT BE LIABLE FOR THE USE OF THE SERVICES, INCLUDING, WITHOUT LIMITATION, THE CONTENT AND ANY ERRORS CONTAINED THEREIN.

YOU ASSUME ALL RISKS ASSOCIATED WITH OBTAINING DATA OR INFORMATION THROUGH THE SERVICES AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE OR OTHER LOSS THAT MAY RESULT FROM SUCH ACTIVITIES.

IN ADDITION, TO THE FULLEST EXTENT PERMISSIBLE BY LAW, NUTRI-LINK AND ITS AFFILIATES, LICENSORS AND SERVICE PROVIDERS ARE NEITHER RESPONSIBLE NOR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE OR OTHER DAMAGES ARISING OUT OF OR RELATING IN ANY WAY TO THE SERVICES AND/OR CONTENT OR INFORMATION CONTAINED WITHIN THE SERVICES.

THESE TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF GEORGIA, EXCLUSIVE OF ITS CHOICE OF LAW RULES. In the event that any of the provisions of this agreement are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this agreement shall otherwise remain in full force and effect. Nutri-Link’s service providers related to the Services are express third-party beneficiaries hereunder.
